01Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Visitela, a brand of The Nelson M Group LLC ("Visitela," "we," "us"). They govern your use of visitela.com and related services, among them email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Anyone who does not agree to these Terms must stop using the Services.

02What Visitela is, and is not

Visitela is an information service. We publish general, plain-language details about how clinical research works, how to read a study listing, what informed consent means, and which questions to ask a study team, and let visitors opt in to related updates. We never give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we will not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Visitela, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We do not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

03Eligibility

The Services are open to people who are at least 18, are located in the United States, and can legally enter a binding contract. Please submit details only about yourself, or about another person who has authorized you to share them.

04Your information and accuracy

You promise that what you submit is accurate and up to date, and you will update it if anything changes. The mobile number you enter must be one you own or have authority to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

05Communications and text-message consent

If you select to opt in, you consent to being contacted by email and, if you tick the boxes that apply, by automated text messages as set out in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. 06Text messaging: rates, frequency, STOP and HELP

Message and data rates may apply. Message frequency may vary (up to about 8 messages a month, depending on the topics you choose). Text START to join, or opt in with the form on our Get Started or text updates page. Consent is not a condition of purchase or of using the Services.

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 888-427-0681.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

07Acceptable use

You agree not to: (a) submit false, misleading, or someone else's information; (b) use the Services for unlawful, fraudulent, or abusive purposes; (c) interfere with or disrupt the Services or attempt unauthorized access; (d) use bots or automated means to submit forms; (e) copy, scrape, or resell our content without permission; or (f) impersonate any person or entity. We may suspend or end your access if you do.

08Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) are third-party operations. No product, plan, or provider is endorsed by us, and we have no responsibility for the conduct, content, or results of those third parties. Your relationship with any doctor or study team is between you and them.

09Intellectual property

The Services, such as the Visitela name, logo, text, graphics, and design, belong to us or our licensors and are protected by intellectual property law. You receive a limited, revocable, non-exclusive, non-transferable license to view and use the Services for personal, non-commercial uses. Photographs on the Site are used under their own free-use licenses.

10Disclaimers

We provide the services and all content "as is" and "as available" and disclaim all warranties, express or implied, among them implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation, or the delivery (or timely delivery) of any message.

Visitela does not supply financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

Where the law permits, Visitela and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Because some jurisdictions restrict certain limitations, portions of the above may not apply to you. Nothing here limits liability that cannot lawfully be limited.

12Indemnification

You agree to hold The Nelson M Group LLC, its affiliates, and its personnel harmless, and to indemnify them, for claims, damages, and expenses (reasonable attorneys' fees included) arising from your violation of these Terms, from misuse of the Services, or from giving a phone number or other information that you were not authorized to provide.

13Disputes, governing law, and arbitration

Informal resolution first. Start by writing to us at [email protected] giving us 30 days to try to work it out.

Binding arbitration. Except where a matter belongs in small claims or involves injunctive relief for intellectual-property misuse, you and Visitela or The Nelson M Group LLC agree that any dispute arising out of or relating to these Terms or the Services will be decided by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in your county of residence or by video or phone, as you pick. The arbitrator may award the same individual relief as a court, and judgment may be entered in any court of competent jurisdiction.

Class-action waiver. As permitted by law, each of us, you and Visitela, will bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Opt-out. To opt out of arbitration within 30 days of first accepting these Terms, email [email protected] with the subject "Arbitration Opt-Out" and your name and mobile number.

Governing law. We interpret these Terms under the Federal Arbitration Act and the laws of the state where The Nelson M Group LLC has its principal place of business, ignoring conflict-of-law rules. The state and federal courts located there have exclusive jurisdiction, subject to the arbitration clause.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. Access may be suspended or terminated by us at our discretion, for example for violations of these Terms. Sections that by nature are intended to survive, including disclaimers, limitation of liability, indemnification, and disputes, remain in force after termination.

15Changes

We reserve the right to revise these Terms. Revised Terms will carry a new "Last updated" date, and your continued use of the Services after the effective date counts as acceptance. We will give notice of material changes as the law requires.

16General

These Terms, the Privacy Policy, and the SMS Terms make up the whole agreement between you and us on this subject. An unenforceable part does not affect the remainder, and our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them in connection with a merger or sale of the business.
